1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Opengates Link Limited ("Opengates", "Company", "we", "us", or "our"), governing your access to and use of the Helmspot platform and website located at helmspot.com (collectively, the "Service").

By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not access or use the Service.

2. Definitions

• "Service" refers to the Helmspot website, platform, applications, APIs, and any related services provided by Opengates Link Limited.
• "Content" means all text, graphics, images, logos, trademarks, software, data, and other materials displayed on or available through the Service.
• "User Content" means any information, data, or materials submitted by you through the Service, including but not limited to waitlist registrations and form submissions.
• "Subscription" refers to any paid plan, license, or access tier offered through the Service.

3. Description of Service

Helmspot is an enterprise operations suite designed for TVET centers, training organizations, and modern institutions. The platform comprises multiple integrated applications organized into operational hubs covering people management, asset management, financial operations, and intelligence.

The Service is currently in pre-launch status. Access to the website, waitlist, and related communications does not constitute a binding offer, guarantee of service availability, or commitment to deliver any specific features, functionality, or timeline. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without notice.

4. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into a binding agreement, and are not barred from using the Service under any applicable laws or regulations.

5. Account Registration and Waitlist

By joining the waitlist or registering for early access, you agree to provide accurate, current, and complete information. You are responsible for maintaining the accuracy of your information and for all activities associated with your registration.

Waitlist registration does not guarantee access to the Service, any particular pricing, or any specific launch date. We reserve the right to accept or decline any registration at our sole discretion. You may request removal from the waitlist at any time by contacting us at hello@helmspot.com.

6. Pricing and Payment

Any pricing information displayed on the Service is indicative, subject to change, and does not constitute a binding offer. Final pricing, billing terms, and payment conditions will be established in a separate subscription agreement at the time of service activation.

We reserve the right to modify pricing at any time. For existing subscribers (once the Service is live), we will provide reasonable advance notice of any pricing changes. Early-access pricing commitments, if any, will be specified in writing in the applicable subscription agreement.

7. Intellectual Property

All Content, including but not limited to the Helmspot name, logo, trademarks, trade names, service marks, designs, text, graphics, software, source code, data compilations, and the overall look and feel of the Service, is the exclusive property of Opengates Link Limited or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service strictly in accordance with these Terms. You may not, without our prior written consent:

• Reproduce, distribute, modify, create derivative works of, or publicly display any Content
• Reverse engineer, decompile, or disassemble any software or technology used in the Service
• Use any data mining, robots, scraping, or similar data gathering methods
• Remove, obscure, or alter any proprietary notices or labels
• Use the Helmspot or Opengates name, logo, or trademarks without authorization

8. User Conduct

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to:

• Violate any applicable local, national, or international law or regulation
• Attempt to gain unauthorized access to any part of the Service, its servers, systems, or networks
• Submit false, misleading, or fraudulent information through any forms or communications
• Interfere with, disrupt, or impose an unreasonable burden on the Service or its infrastructure
• Transmit any viruses, malware, worms, Trojan horses, or other malicious code
• Use the Service to send unsolicited communications (spam)
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Use the Service in any manner that could damage, disable, or impair its functionality

9. User Content

You retain ownership of any User Content you submit through the Service. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, copy, and process such content solely for the purposes of operating and improving the Service, communicating with you, and fulfilling our obligations.

You represent and warrant that you own or have the necessary rights to submit the User Content and that it does not violate any third-party rights or applicable laws.

10. Third-Party Links and Services

The Service may contain links to third-party websites, services, or resources. We do not endorse, control, or assume responsibility for any third-party content, services, or practices. Your interactions with third-party services are solely between you and the relevant third party, and you access them at your own risk.

11. Disclaimer of Warranties

THE SERVICE AND ALL CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant that any information provided through the Service is accurate, complete, reliable, or current.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL OPENGATES LINK LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH:

• Your access to, use of, or inability to use the Service
• Any conduct or content of any third party on or related to the Service
• Any unauthorized access to, use of, or alteration of your data or transmissions
• Any errors, mistakes, inaccuracies, or omissions in any Content
• Any other matter relating to the Service

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

13. Indemnification

You agree to indemnify, defend, and hold harmless Opengates Link Limited, its directors, officers, employees, agents, partners, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit through the Service

14. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Modifications to Terms

We reserve the right to modify, amend, or replace these Terms at any time at our sole discretion. Material changes will be communicated by posting the updated Terms on this page with a revised "Last updated" date and, where appropriate, by providing additional notice through the Service or via email.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Opengates Link Limited is incorporated and operates, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If the dispute cannot be resolved through negotiation within thirty (30) days, either party may submit the dispute to the competent courts in the jurisdiction in which Opengates Link Limited operates, which shall have exclusive jurisdiction.

17. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, epidemics, pandemics, power failures, internet or telecommunications failures, cyberattacks, or labor disputes.

18. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

19. Waiver

No failure or delay by us in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. No single or partial exercise of any right, power, or privilege shall preclude any other or further exercise of that right or the exercise of any other right, power, or privilege.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and Opengates Link Limited regarding your use of the Service and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral, regarding the Service.
